Biography

Mike Kitson is a is a member of the Firm’s Executive Committee. Mike’s practice focuses on tax planning, mergers and acquisitions, business succession planning, equity and tax reorganizations, corporate transactions, tax workouts, and estate planning. Mike works with individual clients as well as businesses with diverse backgrounds, including those in the medical, manufacturing, engineering, distribution, restaurant and hospitality, and agricultural industries.

In addition to mergers and acquisitions, Mike’s business-related work includes forming and liquidating companies, advising closely held businesses, resolving corporate and LLC governance issues, handling owner disputes, succession planning, representing investors, and general negotiation and drafting of business contracts.

Mike also works with business owners, their families, and individuals on estate and tax planning and asset protection, including the preparation of individual and joint trusts, complex trusts, cottage trusts, wills, durable powers of attorney, and healthcare directives. He also handles a wide range of post-death estate and trust administration matters.

Mike has significant experience with federal, state, and local tax planning and nonprofit/tax-exempt formation and governance matters. This includes tax-free reorganizations of businesses, 1031 Exchanges, tax planning regarding the addition and departure of owners, IRS and State of Michigan tax disputes, and state tax planning regarding sales, use and business taxes. Mike’s experience with nonprofit corporations includes charitable 501(c)(3), 501(c)(4), and 501(c)(7) organizations from formation and assistance with obtaining and maintaining tax exempt status from the IRS, managing on-going business and tax compliance concerns, and negotiating business transactions.
